Aim and objectives

This Property Transactions Master Class is aimed at all practitioners acting in property transactions. It is divided into two modules to enhance your understanding of key areas of practice. The first module is focused on complex property transactions and the second module will focus on commercial property tansactions. The first module will allow for those with a good grounding of property law to focus on more complex aspects. Module two is specifically tailored for those who wish to enhance their skills and knowledge in respect of commercial property transactions. Attendance at both sessions will provide a complete immersion in the key aspects of conveyancing and landlord and tenant law.

Topics include

Module 1

This module will focus on complex property transactions starting with complex unregistered title and title research. There will be a particular emphasis on compulsory first registration, land registry rules and complex land registry dealings, for example, ground rent leases, easements and transmissions. Property issues in insolvency, examinership and liquidation will be explored along with NAMA and related topics such as powers, execution, disclaimer and repudiation. Tax issues in conveyancing and the conveyancers’ obligations in relation to VAT, CGT, CAT, HC, NPPR, LPT, RZLT and stamp duty will also be examined.

Module 2

This module will address commercial property transactions. The module will commence with a session on the life cycle of a commercial property transaction and types and physical structure of schemes of development. Different schemes will be addressed such as apartments, multi-unit, mixed use and new developments along with related issues such as mapping. There will be a focus on the different stages of development such as site purchase, contract, legal structure, development, and management of schemes including the occupancy phase and FRI leases. This module will also address how to deal with commercial lending and the corporate borrower. Finally, it will offer guidance in dealing with rural and agricultural land.

Delivery 

The masterclass is a blended learning programme delivered via a mix of asynchronous and synchronous sessions. There will be an initial one-hour session on Zoom in February 2024. This will introduce the masterclass and address ethical and regulatory issues, undertakings, conflict of interest and explore some case law on liability and risk.

Module 1: Complex Property Transactions will consist of six recorded lectures followed by a 2.5-hour Panel Discussion/Q&A. All lectures can be accessed online in February 2024. The Panel Discussion/Q&A session for Module 1 will take place in the evening in The Law Society of Ireland in February 2024.  

Module 2: Commercial Property Transactions will consist of six recorded lectures followed by a 2.5-hour Panel Discussion/Q&A. All lectures can be accessed online in March 2024. The Panel Discussion/Q&A session for Module 2 will take place in the evening in The Law Society of Ireland in March 2024.
