Wallace Corporate Counsel LLP is seeking a talented and commercially minded Solicitor to join their Commercial Contracts team on a permanent basis. This is a broad and varied role, offering the opportunity to advise a diverse client base on a wide spectrum of commercial agreements.
The successful candidate will work closely with partners and senior colleagues, managing their own caseload while contributing to complex, high-value matters. The role offers genuine client contact from day one and the opportunity to develop expertise across a variety of sectors and industries.
The role will involve advising clients on a broad range of commercial contracts, including:
Commercial Contracts (General)
- Supply of goods and services agreements
- Master services agreements and framework agreements
- Agency, distribution and reseller agreements
- Outsourcing and managed services contracts
- Consultancy and professional services agreements
- Terms and conditions (B2B and B2C) Technology and IT
Contracts
- SaaS, cloud-based and software licensing agreements
- IT services and managed services agreements
- Software development and app development agreements
- Systems integration and implementation contracts
- Service level agreements and maintenance contracts
Intellectual Property Rights (IPR)
- IP licensing and commercialisation agreements
- IP assignment agreements
- Co-development and collaboration agreements involving IP ownership and licensing
- IP indemnities and warranties in commercial agreements
- Trade mark and brand licensing
Manufacturing and Supply Chain
- Manufacturing agreements and contract manufacturing arrangements
- Procurement contracts and supply chain agreements
- Logistics, warehousing and fulfilment agreements
- Product development and R&D agreements
Key responsibilities
- Managing your own portfolio of commercial matters, with appropriate partner supervision on complex transactions.
- Drafting, reviewing and negotiating a wide variety of commercial contracts across sectors.
- Advising clients on day-to-day operational agreements through to high-value strategic projects.
- Delivering commercially focused, practical and pragmatic advice tailored to client needs.
- Building and maintaining strong client relationships, with a view to becoming a trusted adviser.
- Supporting partners and senior colleagues on larger and multi-disciplinary matters.
- Contributing to business development initiatives, including client pitches and thought leadership.
- Supporting and mentoring junior members of the team as appropriate.
Candidate requirements
The successful candidate will have:
- Approximately 3 years' post qualification experience as a qualified solicitor (or equivalent experience), with a strong background in commercial contracts.
- Solid practical experience in technology, IPR and/or manufacturing-related contracts.
- Excellent drafting and negotiation skills, with strong attention to detail.
- A commercially minded, practical approach to legal advice.
- Strong organisational, communication and interpersonal skills.
- The ability to manage a varied caseload and competing deadlines effectively.
- Confidence in dealing directly with clients and building long-term advisory relationships.
