The Corporate Counsel provides legal advice and support to EPRI Europe under the guidance of the Director, International Legal or a senior EPRI attorney by responding to legal issues and needs for an entire business sector or business area (i.e., employment and benefits, compliance, European procurement, privacy, international, IT, Finance, etc.), and is able to prioritise and juggle competing demands with moderate level of support from the other EPRI or outside counsels.

Key responsibilities:

  • Assists in providing legal services to EPRI Europe under the guidance of the Director, International Legal or senior EPRI attorneys and the General Counsel, including legal advice, representation and support to management and staff in order to facilitate achievement of the Company’s goals, while anticipating and managing risk to protect the Company;
  • Analyses and negotiates proposed contractual and licensing transactions, evaluates compliance with applicable law and policy;
  • Drafts, negotiates and finalises licenses and other agreements with members, funders, contractors and other third parties; provides specific assistance on international and compliance matters;
  • Makes recommendations on variance from standard policies and legal terms, memorandums of understanding, privacy, security and international transactions;
  • Drafts transactional and other documents, including procedures and processes in support of company policies;
  • Researches and analyses legal issues on a broad spectrum of subjects that could include among others: intellectual property; legal and regulatory compliance issues (such as export control, anti-bribery, anti-boycott, privacy, and antitrust); corporate governance issues; nonprofit corporation law.

Education and experience:

  • Law degree from nationally accredited law school (or foreign equivalent);
  • Admission as a solicitor in good standing in Ireland;
  • Strong ability to express complex ideas orally and in writing;
  • 1+ years of applicable experience, having both law firm and in-house counsel experience a plus;
  • Familiarity with enterprise resource planning and enterprise content management a plus;
  • Basic knowledge of intellectual property law (licensing) and experience drafting licenses or other contracts;
  • Working knowledge of tax exemption laws applicable to scientific research organizations, licensing (including software) and copyright;
  • Experience with international transactions a plus.

Additional requirements:

  • Solid international business experience;
  • Knowledge of at least one foreign language pertinent to EPRI’s business (preferably two);
  • Familiarity with international compliance issues, such as export control or the general data protection regulation.
