The Department of Business, Enterprise and Innovation is holding a consultation on a new EU Directive which will affect company law.

Directive (EU) 2019/2121 amends Directive (EU) 2017/1132 and must be transposed into Irish law by 31 January 2023. It covers cross-border mergers, as well as harmonising the rules governing how companies can reorganise their operations across borders.

Safeguards

Its aim is to make it easier for companies to merge, divide or move within the single market, while also safeguarding the rights of employees, creditors and shareholders.

The department is asking in particular for views on those areas in which national governments can choose how to implement the new rules.

Views are also being sought on the current provisions of examinership and any amendments that may be required under the Directive.
