Course objectives
This course provides a comprehensive understanding of the system of authorisation, supervision and regulation applicable to the investment funds industry in this jurisdiction. Initial modules introduce the funds industry, explain what a fund is and the processes and procedures that apply. Subsequent modules focus on more technical and legal aspects, including a detailed review of relevant funds directives, regulations and Central Bank Notices and Guidance Notes. The course will give full coverage to the implementation of the highly significant Alternative Investment Fund Managers Directive (AIFMD).
Learning outcomes
The programme outcomes of this course are to equip practitioners to:
- engage with the client to receive instruction and then initiate the authorisation process with the Central Bank
- draft and submit in conjunction with the client the promoter/investment manager regulatory approval application to the Central Bank
- draft the fund’s constitutional documentation for the Irish fund company, unit trust or partnership together with the prospectus documentation
- draft the service agreements between the fund and third parties, including the administration, custodian and investment management agreements
- work with the fund’s listing agents to apply for the listing of the fund on the Irish Stock Exchange
- manage ongoing regulatory and compliance requirements with the Central Bank
