Course objectives
This course aims to provide participants with a comprehensive knowledge of the law relating to corporate law and governance in Ireland. The diploma will focus on typical ‘events’ during the lifetime of a corporate entity which solicitors advise on, from setting up a new company, merging with or acquiring an existing undertaking through to the eventual possible liquidation of such entities.
The course starts with a brief introduction to fundamental concepts, such as types of companies and their corporate constitution, corporate personality and a company’s capacity and powers. Further topics build on this basic understanding to provide an analysis of essential transactional documentation, such as share purchase and asset purchase agreements, the due diligence process and the giving of and relying upon typical warranties. This practical ‘hands-on’ approach will be supplemented where appropriate by case study analysis and drafting advices from leading practitioners.
Learning outcomes
On successful completion of this diploma participants will be able to:
- demonstrate a specialised knowledge of corporate law and governance in Ireland
- understand the increasing responsibilities and the critical importance of governance from a practitioner’s perspective
- analyse the essential transactional documentation in practice
- advise on the regulatory and legislative framework under the Office of the Director of Corporate Enforcement and typical matters arising with regards to company secretarial compliance
